These Terms of Service (“Terms”) govern your use of bidthis.ai and related services provided by Bidthis, LLC (“BidThis,” “we,” “us,” or “our”).

By using our website, booking a call, submitting a workflow, using a demo, or engaging with our services, you agree to these Terms. If you do not agree, do not use the site or services.

1. What BidThis does

BidThis helps owner-led businesses design, build, and manage AI-enabled workflows, operating systems, automation infrastructure, and related implementation services.

Our services may include:

  • Workflow discovery and process mapping
  • AI prototype and demo development
  • Cloud tenant setup and technical implementation
  • Workflow automation and agent-assisted systems
  • Tool integration and data structuring
  • Training, documentation, and managed support
  • Ongoing operating-system partnership services

Website demos, workflow assessments, and intake calls are informational only. Paid client work is governed by a separate written proposal, statement of work, master services agreement, or other signed agreement.

2. Eligibility

You must be at least 18 years old and able to enter into a binding agreement to use our services.

If you use the services on behalf of a company, you represent that you have authority to act on behalf of that company.

3. Website, demos, and prototypes

Our website, demos, workflow finders, and prototype outputs are provided to help evaluate possible workflows and use cases.

Unless otherwise agreed in writing:

  • Demos and prototypes are not production systems.
  • Outputs are not guaranteed to be accurate, complete, or error-free.
  • You are responsible for reviewing all outputs before relying on them.
  • We do not guarantee business outcomes, cost savings, revenue increases, or operational results.

4. No professional advice

BidThis does not provide legal, financial, accounting, tax, insurance, engineering, or other licensed professional advice unless expressly agreed in a signed agreement and performed by properly qualified professionals.

AI-generated or software-assisted outputs should not be treated as professional advice. You are responsible for having appropriate personnel or advisors review important decisions, documents, and workflows.

For example, if we help track lien waivers, insurance documents, contracts, pay applications, or compliance-related workflows, we are helping with workflow support and document handling. We are not making legal determinations or authoring legal advice unless expressly agreed in writing.

5. Human approval

Our systems are designed to support human decision-making, not replace it.

You are responsible for reviewing and approving actions, outputs, messages, documents, payments, submissions, or other business decisions before they are relied on or sent, unless a signed agreement states otherwise.

6. Your content and data

You may submit workflow descriptions, documents, screenshots, transcripts, recordings, business data, or other materials to us.

You represent that:

  • You have the right to provide the content to us.
  • Your content does not violate any law or third-party rights.
  • Your content does not contain malware or harmful code.
  • You will not submit information you are not authorized to share.

You grant BidThis a limited right to use your content as needed to provide the services, operate the website, respond to inquiries, build demos or prototypes, perform paid engagements, and improve our internal processes.

We do not sell your data.

7. Client engagements

Paid client engagements are governed by separate written agreements.

If there is a conflict between these Terms and a signed client agreement, the signed client agreement controls for that engagement.

Unless a signed agreement says otherwise:

  • Project scope, fees, deliverables, and timelines must be agreed in writing.
  • Production deployment is not included in a demo or prototype.
  • Third-party tool costs, cloud costs, software subscriptions, and client system access may be billed separately or remain the client's responsibility.
  • Client cooperation, timely access, and accurate information are required for successful delivery.

8. Intellectual property

The BidThis website, brand, designs, code, templates, workflows, prompts, frameworks, documentation formats, reusable components, internal systems, and underlying methods are owned by BidThis or its licensors.

For paid client work, ownership of specific deliverables will be described in the applicable signed agreement.

Unless otherwise agreed in writing:

  • BidThis retains ownership of its background technology, reusable code, templates, frameworks, agents, workflows, methods, know-how, and internal tools.
  • Clients receive rights to use the specific deliverables created for them as described in the signed agreement.
  • We may reuse generalized learnings, methods, patterns, and non-confidential know-how across engagements.

9. Confidentiality

Client confidential information shared during an engagement will be handled according to the applicable signed agreement.

If no separate agreement exists, we will use reasonable care to protect confidential business information you provide and will use it only to evaluate, provide, or improve the services.

Do not submit highly sensitive information unless appropriate confidentiality, security, and access terms are in place.

10. Third-party tools and services

Our services may rely on third-party tools and providers, including scheduling tools, cloud platforms, AI model providers, analytics tools, email services, client business systems, and integration platforms.

We are not responsible for third-party services, outages, policy changes, pricing changes, security incidents, or data practices outside our control.

Your use of third-party services may be subject to their own terms and privacy policies.

11. Acceptable use

You agree not to:

  • Break, reverse engineer, scrape, or abuse the website or services
  • Attempt unauthorized access to our systems or client systems
  • Upload malware, harmful code, or malicious content
  • Use our services for illegal, deceptive, infringing, or harmful activity
  • Submit information you do not have the right to share
  • Impersonate another person or company
  • Interfere with service availability or security

We may restrict or terminate access if we believe these Terms are being violated.

12. Payment terms

Fees for paid services are governed by the applicable proposal, invoice, or signed agreement.

Unless otherwise agreed in writing:

  • Fees are due according to the invoice terms.
  • Late payments may pause work.
  • Prototype, discovery, setup, and implementation fees are non-refundable once work begins.
  • Ongoing services may require a recurring monthly commitment.
  • Client-caused delays may affect timelines and delivery dates.

13. Disclaimers

The website and services are provided “as is” and “as available.”

To the fullest extent permitted by law, BidThis disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free performance.

We do not guarantee that AI outputs, automations, integrations, or workflows will be perfect, uninterrupted, secure from all threats, or suitable for every business use case.

14. Limitation of liability

To the fullest extent permitted by law, BidThis will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill.

Unless a signed agreement states otherwise, our total liability for any claim related to the website or services will not exceed the amount you paid to BidThis for the specific service giving rise to the claim during the three months before the claim arose.

15. Indemnification

You agree to defend, indemnify, and hold harmless BidThis from claims, damages, liabilities, costs, and expenses arising from:

  • Your misuse of the website or services
  • Content or data you provide
  • Your violation of these Terms
  • Your violation of law or third-party rights
  • Business decisions you make based on outputs or recommendations

16. Changes to the services or terms

We may update the website, services, pricing, features, and these Terms from time to time.

Material changes will be reflected by updating the “Last updated” date. Continued use of the website or services after changes means you accept the updated Terms.

17. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
