1.1 This Privacy Policy applies to all individuals and entities that access or use the Services ("User"), including real estate operators, sponsors, general partners, limited partners, institutional capital providers, and any other persons who submit information to BidThis, LLC in connection with the Services.

- Transaction and portfolio documentation submitted in connection with capital oversight engagements
- Correspondence and communications directed to BidThis, LLC, including contact form submissions and support inquiries
User represents and warrants that User possesses the legal right to submit all information and materials provided to BidThis, LLC, and that such submission does not violate the rights of any third party.
2.2 Automatically Collected Information
When User accesses the Services, BidThis, LLC may automatically collect limited technical and operational information, including:
- Internet protocol (IP) address
- Browser type, version, and device characteristics
- Pages accessed, time spent, and interaction sequences within the Services
- Referring URLs and navigation paths
- Date, time, and duration of access sessions
- Error logs and system performance data
Automatically collected information is used solely for the purposes of system operation, security monitoring, performance analysis, and service improvement. It is not used for behavioral profiling, targeted advertising, or resale.
3. How We Use Information
3.1 BidThis, LLC uses information collected from or about User for the following purposes:
- To provide, operate, and maintain the Services, including generating oversight records, variance analyses, escalation documentation, and governance reports
- To process and respond to User inquiries and support requests
- To maintain engagement records and produce deliverables as specified in applicable engagement agreements
- To monitor platform security, detect unauthorized access, and address technical issues
- To comply with applicable legal obligations, court orders, and regulatory requirements
- To enforce the Terms of Service and protect the legal rights of BidThis, LLC
3.2 BidThis, LLC does not use User information for targeted advertising, behavioral marketing, or any commercial purpose unrelated to the provision of the Services.
3.3 BidThis, LLC does not sell personal information or project data to any third party.
4. AI and Automated Processing
4.1 The Services incorporate automated systems and AI-assisted analytical tools that process User-submitted information to generate oversight records, variance tracking outputs, escalation notifications, and governance documentation.
4.2 Automated processing within the Services does not produce legally binding decisions. All outputs generated through automated or AI-assisted processing are analytical records provided for User's informational and governance purposes. No output constitutes a determination of legal rights, financial obligations, regulatory compliance, or contractual liability.
4.3 User retains full discretion and responsibility with respect to all decisions made in connection with or in reliance upon any output generated through automated processing.
5. Project Data and Analytical Improvement
5.1 User retains ownership of all project data submitted to BidThis, LLC. BidThis, LLC processes such data solely to provide the Services and, in anonymized and aggregated form, to improve internal analytical frameworks, scoring methodologies, and operational systems.
5.2 When project data is used for system improvement purposes:
- Data is aggregated and de-identified to remove information reasonably capable of identifying a specific User, project, or transaction
- No personally identifiable information or project-specific financial records are disclosed as part of such aggregated use
- De-identified and aggregated data is not sold, licensed, or transferred to third parties
5.3 BidThis, LLC does not use User-submitted project data to develop, train, or improve general-purpose AI models, third-party machine learning systems, or any systems not directly related to the provision of the Services.
6. Data Sharing and Disclosure
6.1 BidThis, LLC does not disclose User information to third parties except in the following circumstances:
- Service Providers. BidThis, LLC may engage third-party vendors to support infrastructure, hosting, data storage, analytics, and communications. Such vendors are contractually required to process information solely for the purposes of providing services to BidThis, LLC and to maintain appropriate data security measures.
- Legal Obligations. BidThis, LLC may disclose information as required by applicable law, subpoena, court order, regulatory mandate, or valid governmental request. Where legally permissible, BidThis, LLC will endeavor to notify User of such compelled disclosure prior to production.

- Business Transactions. In connection with a merger, acquisition, reorganization, or sale of all or substantially all assets of BidThis, LLC, User information may be transferred as part of such transaction. BidThis, LLC will provide notice of any such transfer that materially changes the processing of User information.
6.2 BidThis, LLC does not share project-specific data with contractors, vendors, lenders, or any other third parties for solicitation, referral, or commercial purposes.
7. Data Retention
7.1 BidThis, LLC retains User information for the period reasonably necessary to fulfill the purposes described in this Privacy Policy, including:
- The duration of an active engagement and any applicable warranty or dispute resolution period thereafter
- The period required to maintain governance records and audit trails associated with completed engagements
- The period required to comply with applicable legal, regulatory, or contractual retention obligations
7.2 Retention may continue beyond the termination of an engagement or the cessation of User's use of the Services where required for audit, compliance, legal defense, or dispute resolution purposes.
7.3 User may submit a written request for deletion of personal information to BidThis, LLC at the contact information provided in Section 16. BidThis, LLC will process such requests subject to applicable legal retention requirements and the operational integrity of completed engagement records.
8. Data Security
8.1 BidThis, LLC maintains administrative, technical, and organizational safeguards designed to protect User information against unauthorized access, disclosure, alteration, destruction, and misuse. These measures include, where applicable, encryption of data in transit and at rest, access controls, and vendor security assessments.
8.2 No information security system is capable of providing absolute protection against all threats. BidThis, LLC does not warrant that User information will be immune from unauthorized access or disclosure in all circumstances. User acknowledges that submission of information to the Services is at User's own risk.
8.3 In the event of a data security incident that creates a material risk of harm to User, BidThis, LLC will provide notification in accordance with applicable law.
9. International Data Transfers
9.1 BidThis, LLC is based in the United States. Information submitted to the Services is processed and stored on systems located in the United States. By using the Services, User consents to the transfer, storage, and processing of User information in the United States.
9.2 Users accessing the Services from outside the United States should be aware that data protection laws in the United States may differ from those in their jurisdiction. BidThis, LLC makes no representation regarding the adequacy of U.S. data protection standards as compared to the laws of any other jurisdiction.
10. Your Rights and Choices
10.1 Subject to applicable law, User may have the right to:
- Request access to personal information held by BidThis, LLC
- Request correction of inaccurate personal information
- Request deletion of personal information, subject to applicable retention requirements
- Object to or request restriction of certain processing activities
- Receive a portable copy of personal information in a structured, machine-readable format, where technically feasible
10.2 Requests under this Section should be submitted in writing to BidThis, LLC at the contact information set forth in Section 16. BidThis, LLC reserves the right to verify the identity of the requesting party before processing any such request and to deny requests that cannot be fulfilled consistently with applicable law or the operational integrity of the Services.

12. Children's Privacy
12.1 The Services are not directed to individuals under the age of 18. BidThis, LLC does not knowingly collect or solicit personal information from minors.

13.2 User's continued use of the Services following the posting of any modification constitutes User's acceptance of the revised Privacy Policy. It is User's responsibility to review this Privacy Policy periodically.
13.3 For material changes to the Privacy Policy that affect User's rights or the processing of previously submitted information, BidThis, LLC will endeavor to provide notice by email or through the Services prior to the effective date of such changes.
